By using ReplyAI (“the Service”), operated at replyai-virid.vercel.app, you agree to these Terms of Service. If you do not agree, do not use the Service.

1. Description of Service

ReplyAI is an AI-powered cold email generation system. You provide a niche, industry, or company name, and the Service generates a cold outreach email using artificial intelligence. The Service is offered in both free and paid tiers.

The free tier provides 5 email generations per 24-hour period, per IP address. No user account is required. The paid tier, accessed through a license key purchased via Gumroad, provides unlimited generations and additional features as described on our pricing page.

2. Acceptable Use

You agree not to:

  • Use the Service to generate spam, phishing emails, or fraudulent content.
  • Use the Service to generate content that is unlawful, defamatory, harassing, threatening, or invasive of another’s privacy.
  • Use the Service to generate emails that violate the CAN-SPAM Act, GDPR, or any other applicable email marketing laws in your jurisdiction.
  • Attempt to circumvent rate limiting — for example, by rotating IP addresses or using proxies to bypass the daily limit.
  • Share, resell, or redistribute your license key to third parties.
  • Reverse engineer, decompile, or extract the source code of the Service, including the system prompts used for AI generation.
  • Use automated means (bots, scripts, scrapers) to access the Service.
  • Submit input designed to inject prompts, extract system instructions, or otherwise manipulate the AI model outside its intended use.

We reserve the right to block access to the Service for any user who violates these terms, without notice and without refund for paid users.

3. AI-Generated Content

No guarantee of accuracy

The emails generated by the Service are created by an artificial intelligence model (Groq’s Llama 3.3 70B). They may contain factual errors, fabricated names, invented statistics, or other inaccuracies. You are solely responsible for reviewing and verifying all AI-generated content before using or sending it.

No guarantee of results

ReplyAI does not guarantee that emails generated by the Service will result in replies, meetings, sales, or any specific business outcome. The Service is a productivity aid, not a guaranteed revenue generator. Past performance of the system prompt does not guarantee future output quality.

Your responsibility

You assume full responsibility for any emails you send that contain content generated by the Service. This includes compliance with all applicable laws regarding commercial email, data protection, and consumer rights in the recipient’s jurisdiction.

4. Intellectual Property

Our IP. The ReplyAI name, logo, website design, system prompts, and underlying software code are owned by us and protected by copyright and other intellectual property laws. You may not copy, modify, or redistribute them without our written permission.

Generated content. Subject to your compliance with these Terms, we assign you all rights to the specific email text generated by the Service based on your input. You may use, modify, and send the generated email content for your own business purposes. Note: because AI-generated content may not be eligible for copyright protection in some jurisdictions, this assignment is to the fullest extent permitted by law.

Your input. You retain rights to the niche descriptions and any other text you input into the Service. By submitting input, you grant us a limited license to use that input solely to operate the Service — to generate emails and maintain shareable result pages.

5. Payment and License Keys

Paid access is purchased through Gumroad in the form of a license key (format: CMAI-XXXX-XXXX-XXXX). By purchasing a license key, you also agree to Gumroad’s Terms of Service.

Subscription terms. Paid access is a subscription that renews automatically according to the billing cycle you selected (monthly or annual) unless canceled. Cancellation is managed through Gumroad.

Refund policy. We offer a 30-day money-back guarantee on all paid plans. If you are unsatisfied with the Service for any reason, request a refund through Gumroad or by contacting us at our contact page within 30 days of purchase. Refunds are processed through Gumroad and may take 5–10 business days. Refunds requested after 30 days are evaluated on a case-by-case basis.

Price changes. We reserve the right to change pricing for new customers at any time. Existing subscribers are grandfathered at their current rate. If you cancel and resubscribe later, the current price at the time of resubscription applies.

6. Service Availability

We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. The Service may be unavailable during maintenance, updates, or due to factors outside our control — including outages at Groq, Supabase, Vercel, or Upstash. We are not liable for any damages resulting from Service unavailability, including missed email opportunities or lost business.

7. Limitation of Liability

To the fullest extent permitted by law: ReplyAI is provided “as is” without warranties of any kind, express or implied. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $50 if you have not paid us anything.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms. For paid users, termination for violation does not entitle you to a refund. Generated email content and shareable result URLs may remain accessible even after you stop using the Service, as they are part of the public sharing feature.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through a notice on our website. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
